1. Financial promotion status
The content of this website has not been approved by an authorised person within the meaning of section 21 of the Financial Services and Markets Act 2000 (“FSMA”). Reliance on it for the purpose of engaging in any investment activity may expose an individual to a significant risk of losing all of the property or other assets invested.
This website and its content are communicated only to, and directed only at, persons to whom they may lawfully be communicated under the exemptions in the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the “FPO”) — in particular certified or self-certified high net worth individuals and sophisticated investors, as summarised below.
2. Who may rely on this information
The following is a plain-English summary only and is not legal advice. The exact tests are set out in the FPO and you should read them, or take advice, if you are unsure.
High net worth individual
Broadly, a person who, in the last financial year, had an annual income of £100,000 or more, or who held net assets of £250,000 or more throughout that year (excluding their main residence, certain pension benefits and rights under insurance contracts).
Sophisticated investor
Broadly, a person who has a current certificate from an authorised person confirming they are sufficiently knowledgeable to understand the risks, or who self-certifies that at least one of the following applies: they have been a member of a network or syndicate of business angels for at least the last six months; they have made more than one investment in an unlisted company in the last two years; they have worked in the last two years in a professional capacity in private equity or in providing finance to small and medium-sized businesses; or they have been a director, in the last two years, of a company with an annual turnover of at least £1 million.
If you do not fall within one of these categories, you should not act upon or rely on any information on this website. You may still contact us for general information about the company.
3. Key risks of investing
An investment in Frontier Botanics is speculative and suitable only for investors who can afford to lose all of their capital. The risks include, without limitation:
- Loss of capital. You could lose all of the money you invest.
- Illiquidity. Shares in private companies are not traded on a market. You may be unable to sell them, or only at a substantial discount, and should expect to hold them for several years.
- Dilution. Future funding rounds may reduce your percentage holding and the value of your investment.
- Early-stage and execution risk. Plans, expansion phases and timelines may be delayed, cost more, or not be achieved.
- Regulatory and certification risk. The business depends on licences, certifications (including GACP and the targeted EU-GMP certification) and approvals in several countries. These could be delayed, withheld, varied or withdrawn, and laws on cannabis may change. A target is not a guarantee.
- Import, export and supply-chain risk. Cross-border trade in medicinal cannabis is tightly regulated and may be disrupted by customs, permits, logistics or political events.
- Market and pricing risk. Demand, reimbursement, competition and wholesale prices may differ materially from expectations.
- Agricultural risk. Weather, pests, disease and crop failure can affect yield and quality.
- Counterparty risk. The model relies on processing and distribution partners that may not perform or that may not agree terms.
- Country, currency and political risk. Operations are in the Kingdom of Lesotho and sales are expected in other currencies and countries.
- Reliance on key people. The business depends on a small management team.
- Projections are not reliable. Forward-looking statements, targets and illustrative figures are not forecasts and may prove wrong.
- No regulatory protection. Frontier Botanics is not authorised by the FCA. You will not have access to the Financial Ombudsman Service or the Financial Services Compensation Scheme for losses on this investment.
- Tax. Tax treatment depends on individual circumstances and may change. No tax relief is promised.
4. No advice; take independent advice
Nothing on this website is investment, tax, legal or accounting advice, or a personal recommendation. You should obtain independent advice from an FCA-authorised adviser before investing. Any investment will be made solely on the basis of formal documentation provided to eligible investors, which supersedes this website.
5. Not a medical website
This website is for investors and trade partners. It does not advertise or offer any medicinal product to the public. Medicinal cannabis products in the UK are unlicensed medicines that may only be prescribed by specialist doctors. Nothing here is medical advice.
